Terms of Service

1. Introduction and acceptance

These Terms of Service (“Terms”) govern your use of the Just a Kanban service (the “Service”) operated by "Just a Kanban". By creating an account or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you are using the Service on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

The Service provides a kanban-style project and task management platform. We may update the Service and its features from time to time.

2. Account and eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. You must provide accurate and complete information when registering and keep your account details up to date. You are responsible for all activity under your account and for keeping your credentials secure. You may not create more than one account per person or organisation unless we agree otherwise.

3. Acceptable use

You agree to use the Service only for lawful purposes and in line with these Terms. You must not:

• use the Service in any way that breaks applicable laws or regulations;
• abuse, harass, or harm others, or use the Service to distribute malware or spam;
• attempt to gain unauthorised access to the Service, other accounts, or our systems;
• scrape, reverse engineer, or attempt to extract source code or underlying data from the Service (except as allowed by law);
• resell or commercially exploit the Service without our written permission;
• use the Service in a way that could damage, overburden, or impair the Service or others’ use of it.

We may suspend or terminate your access if we reasonably believe you have breached this section, without prejudice to any other rights we have.

4. Intellectual property

"Just a Kanban" (or its licensors) owns all rights in the Service, including the software, design, and branding. We grant you a limited, non-exclusive, non-transferable licence to use the Service for your own internal or personal use in accordance with these Terms.

You keep ownership of any content you create or upload (“User Content”). By using the Service, you grant us a licence to host, store, display, and otherwise process your User Content as needed to provide and improve the Service and to comply with the law. We do not use your User Content for marketing or other purposes unrelated to the Service unless you agree or the Privacy Policy allows.

5. Payment terms

Paid plans are billed through our payment provider, Stripe. By subscribing to a paid plan, you agree to the applicable fees and billing cycle (e.g. monthly or annually). Prices are in the currency shown at the time of purchase. We may change prices with at least 30 days’ notice; continued use after the change constitutes acceptance.

Payment processing is subject to Stripe’s terms and policies. We do not store your full card details; Stripe handles payment data. Unless otherwise stated at purchase or required by law, fees are non-refundable. If you cancel a paid plan, you keep access until the end of the current billing period, after which your account will revert to the free tier (if any) or be restricted accordingly.

6. Disclaimer of warranties

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties (express or implied), including merchantability and fitness for a particular purpose. We do not guarantee that the Service will be uninterrupted, error-free, or free of harmful components. Nothing in these Terms excludes or limits any warranty or liability that cannot be excluded or limited under applicable law.

7. Limitation of liability

To the fullest extent permitted by applicable law, "Just a Kanban" and its affiliates disclaim all liability for the Service. We shall not be liable for any direct, indirect, incidental, special, consequential, or punitive loss or damage (including loss of data, profits, or business opportunity) arising from or in connection with the Service or these Terms. Our total liability for any claims related to the Service or these Terms shall not exceed the total amount you paid us in the 12 months before the claim arose. If you have not paid anything, our liability is limited to zero. These limits apply even if we have been advised of the possibility of such loss. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (e.g. death or personal injury caused by our negligence, or fraud).

8. Termination

You may stop using the Service and cancel your account at any time. We may suspend or terminate your access immediately if you breach these Terms, or with reasonable notice for any other reason. On termination, your right to use the Service ceases. We may retain and use your data as described in our Privacy Policy (e.g. for backups, legal compliance, or dispute resolution). Where possible, we will allow you to export your data before termination.

9. Governing law and disputes

These Terms are governed by the laws of Portugal. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Portugal, except where mandatory law requires otherwise.

10. Changes to the Terms

We may change these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the “Last modification” date, or by email or in-app notice where appropriate. Your continued use of the Service after the change becomes effective constitutes acceptance of the new Terms. If you do not agree, you must stop using the Service. For material changes we may also ask you to explicitly accept the new Terms before continued use.

12. Severability and entire agreement

If any part of these Terms is held to be invalid or unenforceable, the remaining parts will continue in full force. These Terms, together with the Privacy Policy and any other policies we refer to, constitute the entire agreement between you and "Just a Kanban" regarding the Service and supersede any prior agreements or understandings.
